Terms of Service

These Terms of Service govern your use of Fabrico — the iOS applications, web applications, and website at fabricoapp.com operated by Amcy Services, Inc., a Delaware corporation. Fabrico is a business-to-business platform, and by using it you are agreeing to these terms on behalf of the business you represent.

1. Agreement to these terms

By requesting access to, accessing, or using Fabrico (the "Platform"), you agree to be bound by these Terms of Service (the "Terms") and our Privacy Policy. If you use the Platform on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business. If you do not agree to these Terms, do not use the Platform.

2. The platform

Fabrico connects window treatment suppliers ("Suppliers") and retailers ("Retailers") so they can manage orders, quotes, pricing, shipping, messaging, invoicing, and related business workflows in one place. Access to the Platform is gated: accounts are provisioned by Fabrico or through an invitation from an existing business on the Platform.

3. Eligibility & accounts

The Platform is for business use only. You must be at least 18 years old and using Fabrico on behalf of a legitimate business.
You are responsible for the accuracy of your account and business information, for maintaining the confidentiality of your credentials, and for all activity under your account.
Businesses may add staff members with scoped permissions. The business is responsible for its staff members' use of the Platform and for removing access when staff depart.
Notify us immediately at support@fabricoapp.com if you suspect unauthorized use of your account.

4. Fabrico's role

Fabrico is a platform, not a party to your transactions. Orders, quotes, prices, payment terms, product quality, delivery, returns, and every other aspect of a transaction between a Supplier and a Retailer are agreed solely between those businesses. Fabrico does not manufacture, sell, buy, store, inspect, or deliver any products, and does not guarantee the performance of any business on the Platform.

Any dispute about a transaction — including pricing, quality, delivery, or payment — is between the transacting businesses. We may, at our discretion, provide tools or information to help resolve disputes, but we have no obligation to do so.

5. Transactions & payments

Prices, costs, and payment terms are set by the transacting businesses, not by Fabrico.
Invoicing and payment features are provided through third-party processors that you connect (such as Square or Intuit QuickBooks). Payments are processed by those providers under their own terms; Fabrico does not hold funds.
You are responsible for all taxes, duties, and regulatory obligations arising from your transactions.

6. Integrations

The Platform offers optional integrations with third-party services, including payment providers, messaging providers, workspace tools, and automation endpoints. By connecting an integration, you authorize Fabrico to exchange data with that service as needed to provide the feature, as described in our Privacy Policy. Your use of each third-party service is governed by that provider's own terms. Third-party services may change or discontinue their APIs, and we are not responsible for third-party service availability or conduct. You can disconnect any integration at any time.

7. Messaging

The Platform includes in-app messaging between businesses and, where enabled, text messaging between a business and its own customers through a connected messaging provider. If you use text messaging features, you agree that you will:

Obtain all consents required by law (including the Telephone Consumer Protection Act and applicable state laws) before messaging any recipient;
Honor opt-out requests immediately, including STOP replies;
Not send unlawful, deceptive, or prohibited content, including content restricted by carrier and messaging-provider policies.

You are solely responsible for your compliance with messaging laws and carrier requirements. We may suspend messaging features for accounts that generate complaints, carrier violations, or unlawful traffic.

8. Your content & data

You retain all rights to the content and data you and your staff submit to the Platform — orders, product information, pricing, messages, customer records, documents, and files ("Your Content"). You grant Fabrico a limited, non-exclusive license to host, process, transmit, and display Your Content solely to operate and improve the Platform and provide features you use, consistent with our Privacy Policy. You are responsible for Your Content, including having the necessary rights to the customer information you add.

9. Acceptable use

You agree not to:

Use the Platform for any unlawful purpose or in violation of these Terms;
Access or attempt to access another business's data, or probe, scan, or test the vulnerability of the Platform;
Interfere with or disrupt the Platform, or circumvent rate limits, access gates, or security measures;
Misrepresent your identity or business, or impersonate another person or entity;
Scrape, harvest, or bulk-export data belonging to other businesses;
Reverse engineer, decompile, or create derivative works of the Platform, except where permitted by law;
Resell, sublicense, or provide the Platform to third parties without our written consent.

10. Confidentiality

The Platform exposes commercially sensitive information — such as cost pricing, discounts, and terms — only to the specific business relationship it belongs to. You agree to use confidential information of other businesses obtained through the Platform only for the purpose of transacting with that business, and not to disclose it to third parties or use it to compete unfairly.

11. Intellectual property

The Platform, including its software, design, and branding, is owned by Amcy Services, Inc. and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for your internal business purposes in accordance with these Terms. Third-party product names, logos, and brands shown on the Platform are the property of their respective owners; their display does not imply affiliation or endorsement.

12. Termination

You may stop using the Platform and request account closure at any time. We may suspend or terminate access to the Platform, with or without notice, if you violate these Terms, create risk or legal exposure for us or other users, or if we discontinue the Platform. Upon termination, your right to use the Platform ends; provisions that by their nature should survive — including Sections 8, 10, 13, 14, 15, and 16 — will survive.

13. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMCY SERVICES, INC. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY BUSINESS ON THE PLATFORM WILL PERFORM ITS OBLIGATIONS.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMCY SERVICES, INC. WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US FOR THE PLATFORM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE OR ONE HUNDRED U.S. DOLLARS ($100).

15. Indemnification

You agree to defend, indemnify, and hold harmless Amcy Services, Inc. and its officers, directors, employees, and agents from any claims, damages, and expenses (including reasonable attorneys' fees) arising from Your Content, your transactions with other businesses, your use of messaging features, or your violation of these Terms or applicable law.

16. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Platform that cannot be resolved informally will be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to their jurisdiction. Before filing any claim, you agree to first contact us at support@fabricoapp.com and give us thirty (30) days to attempt to resolve the dispute informally.

17. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will notify you through the Platform or by email and update the effective date above. Continued use of the Platform after changes take effect means you accept the updated Terms.
